Confirm who you are contracting with
Check the legal name, registration number, jurisdiction, signing party and payment recipient. A brand name or social profile may not be the contracting entity.
Public records are useful for risk screening but do not establish that a contract is safe or enforceable.
Review seven clause groups
Map both sides’ obligations, termination and renewal, revenue and deductions, rights permissions, exclusivity and non-compete limits, upfront charges, and every referenced schedule.
Where your duties are precise but the company’s commitments are vague, ask for measurable deliverables, dates and remedies in writing.
Turn concerns into negotiation points
Classify each point as must change, must clarify or acceptable. Record the original wording, practical risk, requested revision and fallback position, then compare every later version.
Before signing, confirm page count, schedules, dates, signatures and that both parties retain the same final version.
Know when a lawyer is required
Seek qualified legal advice for substantial penalties, long exclusivity, cross-border disputes, broad restraints, perpetual rights, personal guarantees or an existing dispute.
